Lexpression Rseau Informatique Interne ne dsigne pas, mme au sens large, ni Internet ni tout autre rseau communautaire collaboratif ou associatif ouvert au public bas sur des adhsions, abonnements ou des souscriptions. Nombre de licences Autoris indique le nombre ou chiffre CINQ (5), sauf disposition contraire , de toute licence valide (ex : licence de volume) concde par TATTOOFONT3D.COM. Logiciel dsigne toutes les informations accompagnant le prsent contrat, et notamment, des fichiers logiciels, exemples et autres donnes informatiques de TATTOOFONT3D.COM, des chantillons dautres polices, des copies dcran, des photographies d'archives, des images, des fichiers vidos, audios, ou multimdias, des diaporamas, des clip arts et autres oeuvres artistiques (les Fichiers Stocks), des fichiers et documents annexes crits explicatifs ( fichiers lisezmoi.text, readme.text, la Documentation) et des polices de caractres, ainsi que toutes les versions modifies des informations et leurs copies, de toutes les mises niveau, mises jour et ajouts aux dites informations qui vous sont fournis par TATTOOFONT3D.COM tout moment, sauf si ceux-ci vous sont fournis en vertu dun autre contrat (ci-aprs collectivement les Mises Jour). Le prsent contrat d'utilisation du logiciel de police de caractres devient notamment un contrat juridiquement valable entre le bnficiaire de la licence et TATTOOFONT3D.COM, ds que le bnficiaire de la licence - consent aux conditions du contrat d'utilisation lors dun tlchargement gratuit ou payant du logiciel sur un site internet ou - consent aux conditions du contrat d'utilisation dans un mdia lectronique ( cdrom, DVD, disk, etc ) ou- achte un support avec les logiciels de polices et ouvre son scell d'emballage. Si le bnficiaire de la licence ne consent pas la relation contractuelle impose par le prsent contrat d'utilisation et la rejette, il ne pourra et ne devra ni installer, ni accder au logiciel de polices, ni l'exploiter, ni le tlcharger.Le bnficiaire de la licence devra minutieusement lire l'intgralit du contrat d'utilisation avant d'en accepter les clauses.Article 1Droits et conditions d'utilisation1.1 Le logiciel de polices de caractres faisant l'objet du prsent contrat est la proprit intellectuelle de ANDRE ALLAGUY-SALACHY et/ou des donneurs de licences. La notion de logiciel de polices de caractres comprend toutes les mises jours, mises niveau, versions modifies, extensions et copies de travail du logiciel de polices pour lesquelles un droit d'utilisation a t accord au bnficiaire de la licence, c'est--dire une personne morale, personne physique. Le logiciel de polices reste lgalement la proprit de ANDRE ALLAGUY-SALACHY et le restera mme aprs acceptation de ce contrat par les deux parties .1.2 TATTOOFONT3D.COM accorde au bnficiaire de la licence un droit non exclusif et non transfrable d'installation , dutilisation des fins commerciales ou non, ou de mmorisation du logiciel de polices de caractres simultanment sur CINQ (5) ordinateurs au maximum (situs dans un seul et mme lieu gographique) , ordinateurs du bnficiaire de la licence (dans la mesure o l'achat ou le paiement de la redevance correspondant ce droit a t effectu par le bnficiaire de la licence). Si les restrictions mentionnes prcdemment doivent tre compltes pour mieux correspondre aux conditions dutilisations idales pour lactivit commerciale ou non du bnficiaire moral ou physique, le bnficiaire de la licence se doit d'acqurir une extension de la licence et de laccepter contractuellement. Il est interdit de faire une installation du logiciel de police sur un serveur accessible par Internet .Il est interdit de faire une installation du logiciel de police sur un autre rseau externe (sauf rseau local) Il est interdit de faire une installation du logiciel de police sur des postes de travail qui ne font pas partie de l'unit pour laquelle la licence a t accorde.Dans le cas d'une utilisation commerciale du logiciel de polices des fins de prsentation de travaux numriques, une installation supplmentaire sur un PC mobile, ou portable personnel est autorise par contrat ( qui ne sera pas compte dans les cinq (5) postes de travail autoriss) Des copies de sauvegarde supplmentaires du logiciel de police de caractres sont autorises exclusivement des fins de sauvegarde ou darchivage des donnes sur tout support du bnficiaire de la licence. 1.3 Il est strictement interdit de cder, transfrer, ou changer ce droit d'utilisation des tiers. Cependant, dans le cas o le bnficiaire de la licence dutilisation de police de caractres respecte l'intgralit des conditions spcifiques suivantes, il est exceptionnellement autoris transfrer, cder ou changer ce droit un tiers (voir annexe):a-Ce tiers a dclar expressment au bnficiaire de la licence quil connat et accepte sans restriction aucune toutes les conditions du contrat d'utilisation du logiciel de police de caractres prsent, ces ventuelles extensions, mises jour et mises niveau .b-Dans le cas d'un transfert, dune cession ou dun change des droits d'utilisation un tiers, le bnficiaire de la licence dutilisation de police de caractres s'engage ne plus utiliser le logiciel de police de caractres dorigine, effacer ce logiciel de police de caractres quel que soit l'endroit o il a t stock et de ne plus conserver aucune copie de sauvegarde ou dexploitation.c-Dans le cas dun change, les deux licences concernent toutes deux des licences de polices de caractres de TattooFONT3D.COM 1.4 A des fins dimpression ou dobtention de fichiers dtermins, en chaine graphique ou en postproduction infographique, le bnficiaire de la licence est autoris fournir une copie du logiciel de polices utilis pour la cration du fichier final en question une socit commerciale d'exposition o une autre socit de prestations de services. Dans le cas dune cration ex nihilo, d'une modification de texte sur le fichier fourni, ou de tous travaux 2D ou 3D infographiques supplmentaires sur les caractres ( titrages, trucages, ou postproduction par exemple), sur le document fourni par le bnficiaire de la licence dutilisation du logiciel de police de caractres, ,la socit de prestation de service doit possder sa propre licence.1.5 L'intgration du logiciel de police de caractres dans des documents lectroniques ou les pages Internet n'est autorise si le logiciel de polices nest pas exploit pour l'dition ou la cration de nouveaux documents (lecture seule) par des tiers . Le bnficiaire du prsent contrat doit sassurer du fait que le logiciel de police de caractres ne peut pas tre extrait intgralement ou partiellement de tels documents. 1.6 Le bnficiaire de la licence dutilisation de la polices de caractres ne peut et ne doit transmettre par voie lectronique le logiciel de polices de carcatres intgr dans des documents que :a-Si ces documents sont destins exclusivement des fins personnelles ou des utilisations commerciales internes ou au sein de l'entreprise.b- Si le logiciel de polices de caractres est intgr comme reprsentation graphique statique (par ex. au format gif , jpg, bmp, etc)c- Si la transmission par voie lectronique se fait dans un format ,de fichiers ne permettant que la visualisation et l'impression (et non pas l'dition, la modification ou les amliorations) de telles reprsentations graphiques statiques ou de tels documents intgrs. 1.7 Le bnficiaire de la licence dutilisation du logiciel de police de caractres ne peut pas et ne pourra en aucun cas intgrer ce logiciel de police de caractres dans un autre logiciel ou progiciel, produit commercial ou gratuit, existant ou en cration, sans avoir une licence crite spare de distribution intgre accorde par TATTOOFONT3D.COM. De plus le bnficiaire de la licence dutilisation du logiciel de police de caractres ne pourra intgrer le logiciel de polices de caractres dans un document lectronique ou dans un fichier que pour ses propres fins personnelles ou commerciales internes.Article 2Exclusion de toute autre forme dutilisation2.1 Conformment aux prcisions contractuelles des paragraphes 1.3 et 1.4, il est formellement interdit de revendre, louer ou de transmettre de quelque manire que ce soit le logiciel de polices des tiers, mme sous forme d'lment ou de partie secondaire d'autres produits, comme par exemple de documents lectroniques ou d'accorder des sous-licences pour ce logiciel de polices. 2.2 Sous rserve des rglements dans les paragraphes 2.3 et 2.4, il est expressment interdit de modifier le logiciel de police de caractres, de le combiner avec d'autres logiciels ou logiciels de polices de caractres, de le dcompiler, de louvrir laide dun logiciel de cration de polices de caractres, d'exploiter des parties de ce logiciel de polices pour le dveloppement des propres produits du bnficiaire du contrat dutilisation du logiciel de police de caractres ou d'exploiter les solutions techniques du logiciel de police de caractres d'autres fins que l'utilisation sur votre propre ordinateur. 2.3 Les interventions selon le paragraphe 2.2. ne sont autorises que si elles sont obligatoires pour faciliter l'interoprabilit du logiciel de police de caractres avec d'autres systmes dexploitation ou dautres programmes et o ces informations ne sont ni publies ni cdes, ni vendues ou rendues accessibles des tiers . Le bnficiaire de la licence logiciels de polices de caractres demandera laccord e TATTOOFONT3D.COM et ANDRE ALLAGUY-SALACHY par crit daccs aux parties du logiciel de polices devant tre dcompiles et les prviendra ensuite de celles qui lauront t effectivement.2.4 Toute modification ou altration du logiciel de police de caractres est formellement interdite.Il est strictement interdit au bnficiaire ou tout tiers en particulier de modifier, altrer ou supprimer de quelque manire que ce soit les noms utiliss pour l'identification du designer ou du propritaire du logiciel de police de caractres, ou du copyright et de la date de cration de la police.Si une telle modification est indispensable, elle suppose l'accord crit pralable de TATTOOFONT3D.COM. Si le bnficiaire de la licence dutilisation du logiciel de police de caractres souhaite effectuer une modification, il devra absolument au pralable obtenir l'accord de TATTOOFONT3D.COM. En cas de non-respect de cette clause, le bnficiaire de la licence sera rput tre en violation du prsent contrat d'utilisation du logiciel de police de caractres.En dpit de l'interdiction faite au bnficiaire de la licence dutilisation du logiciel de police de caractres et tout tiers de procder des altrations du logiciel, TATTOOFONT3D.COM et ANDRE ALLAGUY-SALACHY deviendront propritaire des donnes modifies du logiciel de polices.Article 3Responsabilit et garantie3.1 Lorsque le bnficiaire de la licence dutilisation du logiciel de police de caractres a reu, tlcharg, mis niveau ou mis jour le logiciel de police, TATTOOFONT3D.COM garantit pour une priode de 90 jours que conformment la documentation, le logiciel de police de caractres est principalement exempt de dfauts connus et suffisamment graves pour le rendre inoprant. Pour faire valoir son droit de garantie, le bnficiaire de la licence d'utilisation du logiciel de police de caractres doit renvoyer le logiciel de police de caractres pendant cette priode de garantie au revendeur ou partenaire lui ayant fourni ce logiciel de polices en y joignant une copie du bon d'achat, une copie dcran du problme rencontr rgulirement, ou/et une explication du problme en quelques lignes.Si le logiciel de police de caractres comporte des dfauts rptitifs et suffisamment graves pour le rendre inoprant. la responsabilit de TATTOOFONT3D.COM est et sera strictement limite, suivant le choix de TATTOOFONT3D.COM, soit au remboursement du cot de la redevance percue du bnficiaire de la licence pour l'obtention du logiciel de polices, soit au remplacement du logiciel de police de caractres dfectueux.Les clauses et termes prcdents dfinissent seulement les rparations et amliorations exclusives effectuer seulement par TATTOOFONT3D.COM ou ses fournisseurs en cas de non respect de la garantie l'exception de la responsabilit limite dcrite ci-aprs. . 3.2 EXCLUSIONS.En aucun cas, TATTOOFONT3D.COM et ANDRE ALLAGUY-SALACHY, ses partenaires de commercialisation autoriss ou ses fournisseurs ne pourront tre tenus responsables des dommages accidentels, conscutifs ou exceptionnels, y compris la perte de bnfices, la perte de donnes ou de donnes stockes, mme si un reprsentant de TATTOOFONT3D.COM ou un partenaire de commercialisation autoris ou un fournisseur a t inform d'un tel dommage possible ou de revendications qu'un tiers fait valoir contre le bnficiaire de la licenceTattooFONT3D.COM et tous les partenaires autoriss pour la commercialisation ne peuvent accepter et n'acceptent pas de demande de remboursement ou de remplacement au titre de la garantie pour les performances qualitatives et les rsultats artistiques obtenus par le bnficiaire de la licence lors de l'utilisation du logiciel de polices ou de la documentation. Le bnficiaire de la licence dclare savoir qu'un logiciel ne peut jamais tre exempt de tout dfaut et que le logiciel de polices peut donc comprendre un dfaut pouvant entraver l'utilisation.3.3 Toute revendication dpassant le cadre de la garantie de remboursement ou de remplacement accorde conformment aux paragraphes prcdents comme par ex. indemnisation des temps d'arrt, perte de production, matriel consomm inutilement et autre dommage indirect est expressment exclue dans la mesure o un tel dommage n'est pas du une prmditation ou une ngligence grave de la part de TATTOOFONT3D.COM. Pour les autres dommages, la responsabilit est exclue dans la mesure o il ne repose par sur une ngligence grave des obligations de TATTOOFONT3D.COM ou sur une ngligence grave ou une violation prmdite des obligations d'un reprsentant lgal ou des auxiliaires de TATTOOFONT3D.COM.Le bnficiaire de la licence dutilisation du logiciel de polices de caractres reconnat avoir pris connaissance de lexclusion de ce type de revendications des conditions de la garantie, le logiciel de polices de caractres tant fourni en ltat et sans dfaut connu de TATTOOFONT3D.COM. Article 4Fin du contrat d'utilisation4.1 Le droit d'utilisation du logiciel de police de caractres accord sous le paragraphe 1.2 prend fin immdiatement en cas de violation d'une clause du prsent contrat. 4.2 Si le bnficiaire de la licence d'utilisation du logiciel de police de caractres, les collaborateurs, subordonns du bnficiaire de la licence ou les personnes mandates par le bnficiaire de la licence violent les droits d'utilisation convenues et/ou les droits de protection de TATTOOFONT3D.COM, TATTOOFONT3D.COM est en droit de rsilier les droits d'utilisation accords sans pravis tout en se rservant expressment le droit de faire valoir d'autres prtentions (notamment informations, poursuites, dommages intrts etc.).4.3 A la fin du contrat, le bnficiaire de la licence est tenu de rendre l'original du logiciel de polices concern par la rsiliation, y compris la documentation, et toutes les copies sont effacer ou rendre TATTOOFONT3D.COM.Sur demande de TATTOOFONT3D.COM, le bnficiaire de la licence est tenu de dclarer par crit qu'il a procd l'effacement dans les 72 heures aprs la rception de cette demande.4.4 En cas de nullit d'une ou de plusieurs des clauses du prsent contrat, les clauses restantes du prsent contrat restent en vigueur.Article 5Obligation de confidentialit5.1 Le bnficiaire de la licence d'utilisation du logiciel de police de caractres s'engage prendre toutes les mesures ncessaires qui s'imposent pour empcher un accs non autoris au logiciel de police de caractres ou ses copies.5.2 Dans la mesure o le bnficiaire de la licence d'utilisation du logiciel de police de caractres a accord l'accs au logiciel de police de caractres ses collaborateurs, subordonns ou ses mandataires, il est tenu d'informer ces personnes du contenu et des conditions du contrat d'utilisation du logiciel de police de caractres et d'exiger de leur part le respect de ces engagements.Article 6Clauses finales6.1 Le prsent contrat, y compris les annexes faisant partie du prsent contrat, reflte prcisment ltat des conventions acceptes par les parties contractantes. Aucun avenant oral n'a t conclu et ne pourra tre considr comme conclu et engageant TATTOOFONT3D.COM sans confirmation crite expresse de sa part. 6.2 Tout avenant au prsent contrat d'utilisation du logiciel de police de caractres suppose la forme crite. Cette clause s'applique galement la modification de la clause imposant la forme crite. 6.3 Seule la loi franaise s'appliquait, sapplique et sappliquera au prsent contrat, aux litiges dcoulant du prsent contrat et aux litiges portant sur la conclusion du prsent contrat. Les droits et les obligations des parties contractantes rsultant du prsent contrat sont rgis par la lgislation franaise, mme si la violation ou l'application des droits se fait l'tranger. Tribunal comptent: Paris.6.4 En cas de nullit d'une ou de plusieurs des clauses du prsent contrat, le prsent contrat reste en vigueur. Une clause caduque ou nulle doit tre remplace par une clause valable se rapprochant le plus possible de l'objectif recherch par la clause caduque et donc des objectifs conomiques poursuivis par les parties contractantes.6.5 Le droit commercial international est exclu de ce contrat, seules peuvent tre considres les dispositions internationales de protection de la proprit intellectuelles.
