Licensed uses of the Licensed Software and Fonts and glyphs generated thereby in accordance with this agreement include:a. Installation on the number of Devices specified on the invoice associated with this Licenseb. Embedding in documents for the purpose of: i. Proofing or distribution to fewer than 100 people; ii. Sending files for print production;c. Use in conventional office correspondence;3. Each entity must purchase its own license to cover the number of Devices that have access to the Licensed Software.4. If Licensee is acting for the benefit of a third party client (such as an independent contractor or freelance Licensee creating content for the benefit of an end user client), the third party client must purchase the appropriate license if the third party client needs to install the font data itself.5. The Licensed Software may not be copied or duplicated in any form except for storage or caching as may temporarily occur during proper use of the Licensed Software, and, optionally, a single copy solely for backup purposes. The Licensed Software and its related documentation may not be resold, rented, leased, sublicensed or lent to another person or entity.6. The Licensed Software may not be returned or exchanged unless defective. Print-on-Demand or Design-on-Demand applications (For example: web- or kiosk-based systems where a user can use the font data to customize products such as clothing or specialty items);j. Use in entertainment services, such as but not limited to cinema, motion pictures, on television or on cable television, or in animations, irrespective of the method of transmission or viewing;k. In a logo.9. Licensee agrees that House Industries is the exclusive owner of any and all intellectual property rights in and relating to the Fonts, including copyrights for the Licensed Software, trademarks for the names of the Fonts, and protection for the glyphs generated by the Licensed Software under patent, copyright, or trade dress law, if applicable, to the fullest extent of the law in the jurisdiction where the Licensed Software is downloaded or used. Unless otherwise permitted by law, Licensee shall not, at any time during or after the effective Term of the Agreement, dispute or contest, directly or indirectly, House Industries exclusive right and title to the Software Product or the validity thereof.10. Licensee agrees to treat the Licensed Software as confidential information and exercise reasonable care to avoid unauthorized distribution of the Licensed Software.11. Any breach of the terms of this License shall be cause for immediate termination without the obligation of notice or opportunity to cure. House Industries shall be entitled to seek any and all remedies under law or equity, including, without limitation, injunctive relief without the obligation of posting security or bond. In the event of termination, and without limiting any remedies, Licensee agrees to immediately return the Licensed Software to House Industries and certify that no copies remain in its possession or control. This License is provided in exchange for payment of a one-time license fee; failure to pay shall result in immediate termination of this License.12. Each House Industries font is licensed for use on 10 rasterizing devices owned by the same entity or individual.2. By installing House Industries font software, you are agreeing to the terms of this license. House Industries fonts and artwork are licensed for use on 10 rasterizing devices owned by the same entity or individual. A device may be, but is not limited to, a printer, rasterizer, video display terminal, CPU, workstation or any device where the font software is rasterized or display of the House Industries Font is generated from font software outlines. If your configuration exceeds this format, you must call House Industries at 302-234-2356 to expand your site license. If you do not agree to the terms of this software license, please return the software envelope unopened to:House Industries 1145 Yorklyn Road P.O. Box 166 Yorklyn, Delaware 19736-01661. Each House Industries font is licensed for use on 10 rasterizing devices owned by the same entity or individual.2. A multi-device site license upgrade must be purchased for multiple device use according to a multi-device license schedule available at www.houseind.com/license or in Paragraph 11 of this license. Each location and/or entity must purchase a separate license, starting with the first device. An output device is any printer, such as a Linotronic rasterizer, laser printer, dot-matrix printer, direct to plate imaging device any video display terminal or any other device where display is generated from the font software outlines, such as with the use of Adobe Type Manager or native TrueType rasterizer if the font is to be used primarily for display terminals that generate the output, as in a multimedia cd.3. If you are an advertising agency, acting on behalf of an advertising agency or otherwise acting in a similar capacity or for the benefit of a third party, the purchase of a license for your client is required and depending upon the scope of the intended use, a further license upgrade and/or the purchase of a special license may be required.4. House Industries font software may not be copied or duplicated in any form except for a single copy solely for backup purposes. House Industries font software or documentation may not be resold, rented, leased, sublicensed or lent to another person or entity.5. House Industries font software may not be returned or exchanged unless defective. Defective software shall be replaced by the same software if accompanied with purchase receipt and seller is notified within one week of purchase.6. Any software, eps file, illustration, or anything derived from House Industries font software must be used according to the original licensing terms. This means, for example, that any modified House Industries font, or any outline information derived from any House Industries font is still licensed for the same number of devices as the original and may not be sublicensed, given away, or sold without written permission from House Industries. House Industries is responsible for technical support of its officially distributed fonts only. House Industries is not responsible for modified and/or regenerated software. A special license is required to use the House Font Software in logo design, with or in electronic books or games, goods for sale, retail packaging, signage or alphabet products such as scrapbook products or software, adhesive or rub on lettering, game playing or gaming devices irrespective of whether the Font Software itself is embedded into the device or if it is merely the designs of the Fonts embodied in the Font Software that are displayed. The terms of this Agreement are contractual in nature and not mere recitations.7. This license does not permit any form of embedding or encrypting of House Industries font software in digital documents or any other form. If embedding of House Industries fonts is desired, the user must purchase an additional license from House Industries based upon usage. If an embedding license is desired, licensee must represent and warrant that licensees encryption of the embedded House Industries font software is secure enough to prevent access or use by anyone using the software in which the font data is embedded.8. The user of this House Industries font software agrees to credit House Industries as the trademark and copyright owner of the House Industries fonts and list the font names, wherever and whenever design, production, or any other credits are shown.9. Any violation by licensee of this agreement shall cause this license to be terminated. In the event of termination, and without limiting any remedies, you must immediately return the font software to House Industries and certify that no copies remain in your possession or exist on the originally licensed site.10. House Industries makes no warranties express or implied as to merchantability, fitness for a particular purpose, or otherwise. Without limiting the aforementioned, House Industries shall in no event be liable for any direct, indirect, consequential, or incidental damages, including damages from loss of business profits, business interruption, and loss of business information, arising out of the use or inability to use the product. ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE ARE SPECIFICALLY EXCLUDED AND DISCLAIMED. Some states do not permit the exclusion of implied warranties, and you may have other rights which may vary from state to state. HOUSE INDUSTRIES AND ITS SUBSIDIARIES AND AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER DAMAGES ARISING OUT OF THE USE OF THE FONT SOFTWARE. Some jurisdictions do not allow the exclusions of limitations related to purchases by consumers. To the greatest extent permitted by law, any implied warranties or exclusions not effectively excluded by this License are limited to ninety (90) days. House Industries reserves the right to decline to license House Industries Font Software to any Licensee at House Industries sole discretion. At the sole discretion of House Industries, House Industries Font Software may be discontinued or be replaced with an alternative at any time without prior notice and any rights granted to use House Industries Font Software may be revoked, and you, your employer and/or your client if applicable, agree not to use House Industries Font Software in the future. 11. Multi-Device License Upgrade ScheduleThe basic House Industries software license permits the use of the Font Software on a maximum of ten rasterizing devices owned by the same entity or individual. For example, if the Licensed Software is stored on a central server that is accessible by a central printer and two users, each of whom works at a computer display terminal, that would constitute three Devices in accordance with the terms of this License.Entity: an individual or a business organization (e.g. corporation, LLC, etc.)Font: a set of character outlines that defines a particular typeface (e.g. Times New Roman) in one or more stylizations (e.g. Script, Interlock)Font software: machine readable instructions for causing a rasterizing device to render a fontPrint-on-Demand: a system or process whereby individual copies or small numbers of a text are printed to orderDesign-on-Demand: a system or process whereby custom or personalized products are created from interactive contentGlyph: a graphic symbol that provides the appearance or form for a characterEmbedding: the inclusion of font software files inside an electronic documentDynamic Content: content that may vary in some way between different instances of an otherwise identical work, such as, for example, interactive contentStatic Content: content that does not vary between different instances of a workLogo: a unique set of stylized letters, optionally integrated with graphic elements, adopted as a proprietary identifier, such as a trademarkCSS @ Font-Face: Cascading Style Sheet (CSS) code for specifying a font to be used for rendering text in an HTML document by pointing to the URL where a font software file is locatedWork: any contiguous and complete unit of content for delivery to a user in printed or electronic form2. Licensed uses of the Licensed Software and Fonts and glyphs generated thereby in accordance with this agreement include:a. Installation on the number of Devices specified on the invoice associated with this Licenseb. Embedding in documents for the purpose of: i. Proofing or distribution to fewer than 100 people; ii. Sending files for print production;c. Use in conventional office correspondence;3. Each entity must purchase its own license to cover the number of Devices that have access to the Licensed Software.4. If Licensee is acting for the benefit of a third party client (such as an independent contractor or freelance Licensee creating content for the benefit of an end user client), the third party client must purchase the appropriate license if the third party client needs to install the font data itself.5. The Licensed Software may not be copied or duplicated in any form except for storage or caching as may temporarily occur during proper use of the Licensed Software, and, optionally, a single copy solely for backup purposes. The Licensed Software and its related documentation may not be resold, rented, leased, sublicensed or lent to another person or entity.6. The Licensed Software may not be returned or exchanged unless defective. Defective software shall be replaced by the same software if accompanied with purchase receipt and seller is notified within one week of purchase.7. Except as may be otherwise expressly permitted herein or in a separate written agreement, Licensee agrees not to modify, adapt, translate, reverse engineer, decompile, disassemble, alter, re-serve or otherwise copy the Licensed Software or the Fonts embodied therein or glyphs generated thereby in a manner not authorized by this License. Licensee further agrees that the creation of any derivative works or typeface font software is expressly prohibited under this License. Any derivative work which uses incorporates or is otherwise based upon the Licensed Software, Fonts embodied therein, or glyphs generated thereby, including, but not limited to: software, EPS files, artwork designs or other electronic works, are considered derivative works and shall be the exclusive property of House Industries. House Industries shall not be responsible or liable for unauthorized, modified and/or regenerated software or derivative works.8. The following uses of the Licensed Software and Fonts and glyphs generated thereby are expressly NOT PERMITTED under this agreement. To discuss a custom license to use any Licensed Software in connection with any of the following uses, contact House Industries at https://houseind.com/contact/ :a. CSS @font-face embedding. A separate license for this usage is available from the House Industries web site.b. Mobile application embedding. A separate license for this usage is available from the House Industries web site.c. Distribution of the font data to any third party, including but not limited to transmission, serving or otherwise delivering or re-serving the Licensed Software digitally or physically, either for the benefit of Licensee, or for the benefit of a third party;d. Any product for sale, product packaging, digital/social media/web advertising, print/POS advertising, and/or tv advertising.e. Use in a product where the shape of the product is determined by the shape of a single or multiple glyphs from the font data, alphabet products such as scrapbook products or software, adhesive or rub on lettering, game playing or gaming devices, irrespective of whether the Licensed Software or bitmaps or other renderings of the Fonts generated by the Licensed Software are embodied in the foregoing uses;f. eBook or ePublication embedding;g. Embedding in computer games, online games, game consoles, or sub-web (e.g. Facebook) applications;h. Embedding in proprietary hardware such as kiosks, scoreboards, menu boards, digital billboards or other public display systems;i. Print-on-Demand or Design-on-Demand applications (For example: web- or kiosk-based systems where a user can use the font data to customize products such as clothing or specialty items);j. Use in entertainment services, such as but not limited to cinema, motion pictures, on television or on cable television, or in animations, irrespective of the method of transmission or viewing;k. In a logo.9. Licensee agrees that House Industries is the exclusive owner of any and all intellectual property rights in and relating to the Fonts, including copyrights for the Licensed Software, trademarks for the names of the Fonts, and protection for the glyphs generated by the Licensed Software under patent, copyright, or trade dress law, if applicable, to the fullest extent of the law in the jurisdiction where the Licensed Software is downloaded or used. Unless otherwise permitted by law, Licensee shall not, at any time during or after the effective Term of the Agreement, dispute or contest, directly or indirectly, House Industries exclusive right and title to the Software Product or the validity thereof.10. Licensee agrees to treat the Licensed Software as confidential information and exercise reasonable care to avoid unauthorized distribution of the Licensed Software.11. Any breach of the terms of this License shall be cause for immediate termination without the obligation of notice or opportunity to cure. House Industries shall be entitled to seek any and all remedies under law or equity, including, without limitation, injunctive relief without the obligation of posting security or bond. In the event of termination, and without limiting any remedies, Licensee agrees to immediately return the Licensed Software to House Industries and certify that no copies remain in its possession or control. This License is provided in exchange for payment of a one-time license fee; failure to pay shall result in immediate termination of this License.12. The Licensed Software is provide as is, with all faults and without warranty of any kind. House Industries makes no warranties, express or implied, as to merchantability, fitness for a particular purpose, quality, accuracy, quiet enjoyment, non-infringement of third-party rights or otherwise. Without limiting the aforementioned, House Industries shall in no event be liable to Licensee or to any other person or entity for any general, special, direct, indirect, consequential, or incidental damages, including damages from loss of business profits, business interruption, loss of business information, or any other pecuniary loss arising out of the use or inability to use the product. Some states do not permit the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so the above exclusion and limitations may not apply to you. To the greatest extent permitted by law, any implied warranties or exclusions not effectively excluded by this License are limited to ninety (90) days, and House Industries entire liability under any provision of this License shall be limited to the amount actually paid by you for the licensed software. House Industries reserves the right to decline to license House Industries Font Software to any prospective licensee at House Industries sole discretion. At the sole discretion of House Industries, the Licensed Software may be discontinued or be replaced with an alternative at any time without prior notice, and any rights granted to use Licensed Software maybe revoked, in which case Licensee hereby agree not to use the Licensed Software after such revocation.13. Licensee is permitted to transfer this License contingent upon providing notification to House Industries of the transfer. House Industries shall have no responsibility for errors associated with incorrect information related to the transfer of the license or issues experienced by the party accepting the transferred License.14. All rights not expressly identified and granted as a part of this License are expressly reserved by House Industries.If Licensees configuration exceeds any limitations specified in this agreement, the Licensee must contact House Industries at https://houseind.com/contact/ to expand Licensees site license.
