1. General Agreement1.1 Agreement PartiesThis is an agreement between two parties (you, the purchaser and licensee - the entity or organization on whose behalf the Fonts are used, and whose name is specified during the checkout or sale process) and Thecoa (hereafter Thecoa, the Supplier). This agreement stipulates the usage rights of this digital typeface software (hereafter fonts).1.2 Legal BondsBy clicking I AGREE, or purchasing, or downloading, or installing, or using, or otherwise handling the fonts, you accept the terms of this agreement. In accepting the terms of this agreement, you are acknowledging, understanding and complying with its terms. This agreement replaces and supersedes any previously made oral or written proposal or agreement between you and Thecoa. 1.3 Product DefinitionYou are not purchasing the copyright of the design or any other part of the fonts, but the rights, meaning a non-exclusive, non-transferable, perpetual, and worldwide license, to use the fonts as specified in this agreement. 1.4 License ScopeUpon receipt of full payment of all applicable license fees, Thecoa grants you the limited, non-exclusive, non-transferable right to use the Fonts in accordance with the terms of this Agreement. You agree that all rights not granted to you by this Agreement are expressly reserved by Thecoa.This license is governed by limitations that define the maximum number of allowed desktop computer installations of the font. The limitations of your license can be found in your Order Summary.2. Commercial License2.1 DefinitionA Commercial License is a font license used for any purposes/projects which generate profit, including but not limited to printed documents, newspapers, social media, books, packaging designs, logos, products, videos, and other such commercial uses. Usage in websites and mobile applications is permitted but not encouraged.Designer is any entity (such as a design agency or studio, individual designer, or other service bureau) that provides services to the Licensee involving use of the Fonts. Subcontractor is any third party using the Fonts on behalf of the Licensee. The Designer is a Subcontractor of the Licensee, unless the Designer and Licensee are the same entity (i.e. the Designer is creating work for their own organization).Within your organization shall mean usage inside your company or organization, across all your business locations, but shall not include usage by clients or other third parties, including self-employed parties who are working for you but not at one of your business locations. Self-employed third parties temporarily working at one of your business locations on your devices are considered part of your organization. Self-employed third parties must be informed of all rights and restrictions of this license agreement. 2.2 License ScopeA Desktop Commercial license permits you to use the Fonts within your organization.The Fonts are provided in OTF, TTF WOFF and WOFF2 formats. Alternative formats might be provided on request, at the discretion of Thecoa.Except as otherwise specified by this Agreement, you may install the Fonts on any devices within your organization, as long as you dont exceed the total number of devices specified during the process of your order and indicated in your receipt email; embed the Fonts in static documents (such as PDFs), in eBooks, digital product; use the Fonts in your logo and other media produced by your organization.You may only serve the Fonts on websites using the CSS @font-face rule and in the WOFF and WOFF2 formats. Use of the Fonts in OTF, TTF format on the web is not permitted. We refuse to be responsible for the quality of Fonts used in WOFF and WOFFs formats. You can report any errors to us via
[email protected] cost of a Commercial license is determined based on the number of devices used by the Licensee.A Desktop Commercial license remains valid until the number of users able to access the Fonts exceeds the number of devices specified during the process of your order and indicated in your receipt email. [email protected] to upgrade your license.This license allows you to simultaneously install and use the font within the agreed limited number of workstations belonging to you or a third party doing work on your behalf. You must take a reasonable effort to ensure subcontractors/your employees do not use the Fonts outside the work and destroy all copies once the work/employment ends. DOCUMENT EMBEDDING: You are allowed to embed the font in document formats that allow font embedding, such as PDF. The font must be embedded in such a way that the reader is restricted from changing its embedding permissions, extracting the complete font from the document, and creating or editing content using the font.SERVICE BUREAUS AND SUBCONTRACTORS: You are allowed to send the font to a third party subcontractor, printer, or service bureau that will use the font on your behalf, as long as the total number of simultaneous installations does not exceed your license limitations. They must agree to the terms of this license, use the font on your behalf and for no other purpose, and delete all copies of the font in their possession when the work is done. At no time is any Subcontractor permitted to use the Fonts on behalf of themselves or any party other than the Licensee. INTERNAL SERVERS: You may install the font on an internal server as long as you do not exceed the total number of workstations defined in your order summary.BACKUPS: You may create a copy of the desktop font for backup purposes, as long as the backup copy cannot be accessed by anyone other than licensed users.BROADCAST USE: You are permitted to use the font to create titles and graphics for broadcast media such as film and television. SPECIAL USES: You must contact Thecoa to obtain permission and a license extension when individual letterforms are for sale, or in products and platforms where an unlicensed user has the ability to create customized designs using the font.2.3 Purchase by DesignersA Designer can purchase a Commercial license on behalf of the Licensee (their client), provided that: the Licensee and Licensee Size are correctly specified during the checkout process; the Licensee has read and agreed to the terms of this Agreement; and the Licensee has expressly permitted the Designer to complete the purchase on their behalf. The Designer is not permitted to quote or invoice the Licensee for any price other than the amount they actually paid for the license.3.Non-Commercial License3.1 DefinitionA Non-Commercial License is a font license used for any purposes/projects which DOES NOT generate profits. The Fonts included with a Non-Commercial license are the full versions, with no reductions made to their character set or OpenType features, provided in OTF, TTF format. 3.2 License ScopeThis license does not limit the number of devices you install Fonts on. You can install Fonts on any devices within your organization (agency, studio, company, etc). 3.3 As an IndividualIn case You are purchasing this License on your own for personal use, You are permitted to use the Fonts in self-initiated, non-commercial work. This includes student work, provided it is not performed on behalf of a third party (such as a live brief for a commercial client). You may post this work on social media, on the condition that you credit both Thecoa and the name of the typeface within the post. 3.4 As an OrganizationIn case You are purchasing this License for Your Organization (agency, studio, company, etc), you are permitted to use the Fonts for preview and evaluation. This license allows you to create design proposals, pitch decks to submit to a client. Once the pitching is done and the Fonts are chosen by a client with commercial use, You need to ask your client to purchase a Commercial License for the Fonts. This License belongs to Your Organization. Your Designers or Subcontractors can use the Fonts on your behalf but they are not allowed to own or use the Fonts for their personal use or commercial use. 4. General RestrictionsYou must take all reasonable precautions to ensure the Fonts are not accessible to unlicensed third parties or to the general public. The Fonts must not be uploaded onto online storage platforms (such as GitHub or Amazon S3) where they would be accessible to unlicensed third parties. You guarantee to: NOT decompile, modify, reverse-engineer, reformat, alter, edit, or create derivative works of the Fonts or engage any third party to do so without prior written permission from Thecoa; NOT distribute (share, rent, lend, gift, sell, sublicense, etc.) the Fonts or any copy thereof to any unlicensed third party; In case You collaborate or work with Subcontractors, Designers or any other third parties, the number of users that you share the Fonts License to can not exceed the number of users that are permitted in your license. Upon the end of the collaboration or working period among all parties, You are required to ask all third parties to delete all Fonts file or any copy thereof in their devices or platforms. NOT transfer this Agreement or any of your rights hereunder to any third party without the prior written permission of Thecoa; NOT use the Fonts in any explicitly political or religious context, or any context relating to cryptocurrency or the sale of Non-Fungible Tokens (NFTs), without the prior written consent of Thecoa; NOT use the Fonts in any violent, hateful or discriminatory context; NOT use the Fonts in any application in which an unlicensed third party could use them to customise their own designs or to create static documents or images (e.g. an online design application, iron-on lettering product, or print-on-demand service).5. TermThis Agreement is effective in perpetuity, except that if you breach any of its terms, Thecoa reserves the right to charge you the cost of a license covering your actual usage of the Fonts (which exceed the license scope), on a per-infringement basis and without discounts, and/or terminate the license.6. WarrantyThecoa makes no warranties, express or implied, as to merchantability, fitness for a particular purpose, or otherwise. If you encounter an issue or problem with the Fonts, Thecoa will make a good faith effort to provide a fix or replacement within 30 days of being notified. If the issue cannot be reasonably remedied, Thecoa may at their discretion offer to refund you, at which point this Agreement will immediately terminate. Thecoa shall in no event be liable to you or any other third party for any direct, indirect, consequential or incidental damages arising out of the use or inability to use the Fonts, even if notified in advance. Under no circumstances shall Thecoas liability exceed the cost of the license you purchased. You agree to indemnify and hold Thecoa harmless from and against any claims or damage which may result from your misuse of the Fonts or breach of this Agreement.7. LegalThis Agreement is subject to and governed by the laws of Vietnam including: 2015 Civil Code No. 91/2015/QH13, 2005 Commercial Law No. 36/2005/QH11, 2005 Intellectual Property Law No. 50/2005/QH11. This Agreement constitutes the entire Agreement between Thecoa and you, and supersedes any prior discussions or negotiations, whether verbal or in writing. No amendment, modification or waiver will be valid or enforceable unless materialized in an agreement signed by Thecoa. If any part of this Agreement is found void or unenforceable, it will not affect the validity of the rest of the Agreement, which shall remain valid and enforceable according to its terms. Thecoas failure or election not to enforce a provision of this Agreement is not a waiver of its right to do so later. The numberings and section titles within this Agreement are for convenience and shall not affect or alter the meaning or construction of any terms or provisions of the Agreement.
